These Terms & Conditions (“Terms”) govern your use of SpokenLeaf (the “Service”), operated by Infinite Source Agency Inc. (“we”, “us”, or “our”). By creating an account or using the Service, you agree to these Terms.
Please also read our Privacy Policy, which explains how we handle data. In short: your notes live on your device, and we keep only your account, plan, and transcription-usage data on our servers.
1. Eligibility
You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement and that any information you provide is accurate.
2. Your account
Some features require an account. You are responsible for keeping your login credentials secure and for all activity under your account. Your account is your key for sign-in and billing — it does not hold copies of your notes. Notify us promptly at support@spokenleaf.com if you believe your account has been compromised.
3. Your content and data
You own the notes, recordings, tasks, and other content you create with the Service (“Your Content”). Because Your Content is stored on your device, you are responsible for maintaining your own copies.
- Clearing your browser data, switching browsers or devices, or losing access to your device may result in loss of Your Content.
- You can export Your Content as JSON at any time, on any plan. Pro plans can additionally back up a copy to your own cloud storage (a one-way, manual backup — not two-way sync).
- We do not store, access, or back up Your Content on our servers, so we cannot recover it for you.
4. Acceptable use
You agree not to use the Service to:
- Violate any law or the rights of others;
- Upload, transcribe, or process content you do not have the right to use, including recording people without any required consent;
- Attempt to disrupt, overload, reverse engineer, or gain unauthorized access to the Service or its providers;
- Use the Service to build a competing product by scraping or bulk extraction; or
- Misuse AI features to generate unlawful or harmful content.
You are responsible for complying with all laws that apply to recording and transcribing conversations, including obtaining any consent required in your jurisdiction.
5. AI features
The Service offers optional AI features, including transcription (which sends your audio to AssemblyAI) and AI insights and task extraction (which send your note or transcript text to Perplexity). These features are initiated by you and are described in our Privacy Policy.
AI output may be inaccurate, incomplete, or unsuitable for your purpose. AI features are provided “as is,” you use them at your discretion, and you should review results before relying on them. You are responsible for how you use AI output.
6. Plans, billing, and renewals
Plans
The Service offers a Free plan and paid plans (such as Pro). Plan features and current pricing are shown at sign-up and in the app. Transcription minutes and other plan limits apply as described there.
Billing and auto-renewal
Paid subscriptions are billed in advance through our payments provider, Stripe, on a recurring basis (for example, monthly). Your subscription renews automatically at the end of each billing period at the then-current price, using your saved payment method, until you cancel.
Cancellation
You can cancel at any time from your account page (via the billing portal). When you cancel, you keep paid access until the end of your current billing period, and you will not be charged again after that.
Refunds
Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods or unused time. If you believe you were charged in error, contact support@spokenleaf.com.
Failed payments and lapsed plans
If a payment fails, we may retry it and give you a grace period to update your payment method. If your subscription lapses, paid features are turned off, but you can still access the app to export your notes and can resubscribe at any time.
Price changes
We may change plan pricing or features. If a change affects your active subscription, we will give you reasonable notice before it applies to your next renewal.
7. Changes to the Service
We may add, change, or remove features, and we may suspend or discontinue the Service (or parts of it). We'll aim to give reasonable notice of material changes where practical. Your ability to export Your Content is a core part of the Service.
8. Termination
You may stop using the Service and delete your account at any time from your account page. We may suspend or terminate your access if you materially breach these Terms or use the Service in a way that risks harm to others or to the Service. On termination, the license to use the Service ends; you can export Your Content beforehand.
9. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate. The Service is not intended for storing your only copy of critical data — keep your own exports or backups.
10. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from or related to your use of the Service. This expressly includes loss of Your Content resulting from clearing your browser, changing devices, or otherwise losing access to the device where Your Content is stored.
To the maximum extent permitted by law, our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim, or USD 50. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
11. Indemnification
You agree to indemnify and hold us harmless from claims and expenses (including reasonable legal fees) arising from Your Content or your misuse of the Service or violation of these Terms, to the extent permitted by law.
12. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to their conflict-of-laws rules. You and we agree to submit to the courts of the Province of Ontario for any dispute arising from these Terms, except where applicable law gives you the right to bring a claim in your local courts.
13. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we'll update the “Last updated” date above and, where appropriate, notify you in the app. Your continued use of the Service after changes take effect means you accept the updated Terms.
